This Agreement ("Agreement") is made between Wanda INK LTD ("trading as Wanda Tattoo Studio") Company No. 14907811, 46 Newman Street, London, W1T 1QG ("Wanda Tattoo" or "the Company"), and The Tattoo Artist ("Artist"), collectively referred to as "Parties."

1. Engagement of Services

The Artist agrees to provide tattoo services as an independent contractor under the brand Wanda Tattoo, both in London and in the expansion of Wanda Tattoo Studio in New York, USA 2026/2027. The Artist acknowledges that this Agreement extends to both current and future Wanda Tattoo locations, unless otherwise agreed in writing.

2. Revenue and Payment

• a) Revenue Share (Net Revenue Basis): The Artist agrees that 50% (fifty percent) of the net tattoo service revenue received from clients under this Agreement, calculated on a Net Revenue Basis, shall be retained by Wanda Tattoo, and 50% shall be paid to the Artist.
• b) Client Payments: All client payments for tattoo services will be processed exclusively through Wanda Tattoo, ensuring a smooth and transparent system for both parties. The Artist agrees not to accept direct payments from clients unless expressly authorized in writing by Wanda Tattoo. The Artist takes care of their own personal requirements linked to their share of the revenue.
• c) Payment Method:
  • London: Payments due to the Artist shall be made by Wanda Tattoo on the same day the services are performed.
  • New York: Payments due to the Artist shall be made by Wanda Tattoo within seven (7) days of the completion of services.

3. Schedule, Bookings, and Accommodation

• a) London Bookings: The Artist shall be responsible for handling and managing their own client bookings and schedules while working in London. In addition, Wanda Tattoo will actively promote the Artist and may allocate bookings and client opportunities to them. All bookings generated directly by Wanda Tattoo shall be treated with equal priority to the Artist’s own bookings, ensuring fair distribution of clients and revenue.
• b) New York Bookings: In New York, all bookings, scheduling, and client appointments shall be coordinated and managed by Wanda Tattoo. The Artist shall receive clients directly through Wanda Tattoo’s system, and where feasible, the Artist’s own clients may also be integrated into the schedule. This ensures consistency, brand alignment, and maximized client flow for both the Artist and Wanda Tattoo.
• c) New York Accommodation and Revenue: Wanda Tattoo shall arrange suitable accommodation for the Artist during confirmed bookings, guest spots, or assignments in New York. The Artist agrees to contribute towards the cost of such accommodation, with the contribution amount determined and agreed by Wanda Tattoo prior to the commencement of the stay.

4. Term and Commitment

This Agreement shall remain in full force and effect for a period of five (5) years from the commencement date.

5. Exclusivity

The Artist shall not perform tattoo services at any competing tattoo studios or private locations without the prior written consent of Wanda Tattoo.

6. Conduct and Branding

• The Artist shall act professionally, arrive punctually, and abstain from working under the influence of drugs or alcohol.
• All tattoo-related social media content must tag @wandatattoo.
• The Artist agrees to participate in Wanda Tattoo promotional events, interviews, content creation, and brand campaigns.

7. Termination and Damages

• a) Term Commitment: This Agreement shall remain in full force and effect for a period of five (5) years from the commencement date.
• b) Minimum Commitment and Breach: The Artist acknowledges and agrees that the first two (2) years of this Agreement are an absolute minimum binding period. The Artist shall not terminate, withdraw, or otherwise attempt to exit this Agreement within the first two years.
• c) Early Termination by Artist: If the Artist breaches this Agreement or seeks to terminate it before completing the two-year minimum commitment, the Artist shall be liable to pay Wanda Tattoo liquidated damages in the amount of £50,000. This amount represents a genuine pre-estimate of the losses and damages that Wanda Tattoo would sustain as a result of such breach.
• d) Termination by Wanda Tattoo: Wanda Tattoo reserves the right to terminate this Agreement immediately at any time during the Term in the event of gross misconduct, negligence, breach of confidentiality, non-solicitation obligations, fraud, dishonesty, misrepresentation, or failure to maintain valid work authorization or comply with legal/tax obligations. In such cases, Wanda Tattoo shall have no further payment obligations to the Artist other than sums already accrued up to the date of termination.

8. Confidentiality and Non-Solicitation

• The Artist shall not disclose client information, business strategies, or Wanda Tattoo financial terms.
• The Artist shall not solicit Wanda Tattoo clients for competing studios.

9. Taxes and Work Permits

The Artist is responsible for their own taxes, insurance, and legal right to work in the United Kingdom and the United States.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, with jurisdiction extending to enforcement of obligations in other territories where Wanda Tattoo operates.
