NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT

1. Confidential Information For the purposes of this Agreement, "Confidential Information" shall include but is not limited to:

  • Studio policies, procedures, and practices. 
  • Pricing, discounts, and other financial information. 
  • Client lists, appointment schedules, and any personal client information. 
  • Marketing strategies, promotional plans, and business development strategies. 
  • Any other information related to the business operations of Wanda Tattoo Studio, whether communicated orally, in writing, or by any other means.
  • Any other information that has commercial value or could harm the business if disclosed.

    • 2. Non-Disclosure Obligations

    The Tattoo Artist agrees to:

  • Maintain the confidentiality of all Confidential Information and not disclose it to any third party without the prior written consent of Wanda Tattoo Studio. 
  • Not use the Confidential Information for any purpose other than for performing their duties as a Tattoo Artist at Wanda Tattoo Studio. 
  • Take all reasonable precautions to protect the confidentiality of the Confidential Information. 
  • Immediately notify Wanda Tattoo Studio of any unauthorized use or disclosure of Confidential Information.

    • 3. Non-Disparagement

    The Tattoo Artist agrees not to:

  • Make any false, negative, or disparaging statements about Wanda Tattoo Studio, its owners, employees, clients, or services in any form, including but not limited to social media, online reviews, or any other public or private communication. 
  • Engage in any conduct that may harm the reputation or business of Wanda Tattoo Studio.

    • 4. Duration 
    The obligations under this Agreement shall continue indefinitely, both during and after the termination of the Tattoo Artist's engagement with Wanda Tattoo Studio.

    5. Return of Materials
    Upon termination of the Tattoo Artist’s engagement, the Tattoo Artist agrees to return all materials, documents, and any other property belonging to Wanda Tattoo Studio, including any Confidential Information

    6. Remedies
    The Tattoo Artist acknowledges that any breach of this Agreement may result in irreparable harm to Wanda Tattoo Studio, for which monetary damages in the amount of £20,000 will be required. Therefore, Wanda Tattoo Studio shall be entitled to seek injunctive relief, specific performance, or any other remedy available at law or equity, in addition to any damages.

    7. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.

    8. Entire Agreement
    This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.

    9. Amendments
    No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.
